Go for a small up front fee and royalties for the long haul. I have not idea what the pricing should be, but having a (somewhat) continual revenue stream is always good.
I don't know squat about licensing products, but I have been approached by the publisher of Iron Crown about the possibility of licensing Kaidan to Iron Crown for a conversion for the HARP game system. They also offered me the possibility of licensing HARP and converting myself, but then I know very little about their system - not my flavor really, I'm more a D&D/Pathfinder kind of guy. If I did this, I would sell a license to Iron Crown as the best option.
I could use the extra money that selling a license would provide - though I currently have no idea what the price for selling a license would be.
As an aside they have interests in offering Maps, Posters, GM screens, card sets through my Gamer Printshop online store, that I would do the printing and shipping, so they were approaching me about that, and brought up Kaidan in the same conversation.
While I'm not making big bucks with Gamer Printshop yet, it is growing very fast and the opportunities keep flowing in, I am hopeful that it will become quite profitable eventually.
Thoughts?

Congratulations. Played a lot of Rolemaster/MERP many years ago, but when they switched to HARP I only got around to making a character, but we never got the campaign started - but it looked good
I'm with jfrazierjr on this, if they go for it get some percentage of everything they make, also think about if they should be allowed to make more stuff for the setting themselves or if you have to at least approve what is made for your setting.
